Built from Form 4 filings, the report an officer, director, or 10% owner files with the SEC within two business days of a trade, and counted by trade date over the period you select. Sales are how much they sold, at the price each Form 4 states. Prepaid Fwd is the upfront cash an insider received from a prepaid variable forward against shares pledged to a bank, as the filing’s footnote states it. Total is the two together, the cash taken out, and ranks the list.

Grants are new stock awards and stock units to officers and directors, valued at the closing price on or near the grant date, leaving out options and payouts on earlier performance awards. They stay out of Total, since a granted share sold later would count twice.

Float is the public float on the cover of the company’s latest annual report, the market value of the shares held by the public, not by officers, directors or major owners. SECSift’s filing search shows the same figure. % of Float is Total over that float, and Shares Δ is the change in the diluted share count over four quarters. A sale that related filers each report, such as a fund and the partner it has on the board, counts once. 10% owners of foreign private issuers don’t file Form 4, so their sales aren’t here.
