Every SCHEDULE 13D and amendment, and every DEFC14A, filed with SEC EDGAR in the last 90 days, newest first. An investor files a SCHEDULE 13D within five business days of owning more than 5% of a company’s voting shares. A passive holder files the shorter SCHEDULE 13G instead. A SCHEDULE 13D/A reports a change in the stake or in the investor’s plans. A proxy fight is the DEFC14A, the proxy statement the company and a dissident investor each file when they compete for shareholders’ votes on the board. Investor is the first person or fund the filing names, so it’s blank on the company’s own proxy statement. Industry is the SIC classification EDGAR holds for the company, blank where it holds none.
